Terms of Service

These Terms govern your use of the Crumbs software, website and API (the "Service"). By creating an account, signing in with a wallet or using the Service you agree to them. If you do not agree, do not use the Service.
1. What the Service is (and is not)
Crumbs is non-advisory execution software. It (a) reads public blockchain data from wallet addresses you register, (b) computes "round-ups" from your outbound transactions according to parameters you set, and (c) submits transactions to a smart-contract vault that you own, which purchases tokenized securities ("Stock Tokens") on Robinhood Chain according to a fixed allocation template you selected.
The Service does not provide investment, financial, legal or tax advice; does not recommend any asset, allocation, amount or timing; does not hold, custody or control your funds or private keys; does not act as a broker, dealer, exchange, investment adviser, payment institution or fiduciary; and does not guarantee any outcome. You choose the allocation. We execute your standing instruction.
2. Eligibility
- You must be at least 18 years old and legally able to enter into a binding contract.
- You must not be a resident of a jurisdiction in which Stock Tokens are not lawfully available to you, and you must not be a person on any sanctions list. We screen wallet addresses against sanctions lists; we do not verify your location, so establishing that your use is lawful is yours to do. Access may be refused or withdrawn at any time to comply with law.
- You must use only wallet addresses you control. Registering an address you do not control is a breach of these Terms.
3. Your vault and the operator
When you create a vault, a smart contract is deployed on Robinhood Chain with your wallet address as its sole owner. You authorise an operator address run by us. Within the contract's rules, the operator may only (i) transfer USDC from your wallet into your vault up to the per-transaction and rolling seven-day limits you set on-chain, and (ii) swap USDC held in the vault into assets on the allowlist you set, subject to an on-chain price check. The operator cannot withdraw assets from the vault or send them anywhere other than the vault.
You may at any time, without our permission: withdraw any asset (including while the vault is paused), pause the vault, change limits or the allowlist, or revoke the operator. These are transactions you sign with your own wallet; we cannot perform them for you and cannot stop you.
Smart contracts are immutable software. We have tested the contracts but do not warrant that they are free of defects. You accept the risk of bugs, chain reorganisations, network outages and any loss resulting from them.
4. Execution modes and standing instructions
In manual mode each batch of round-ups is presented to you for approval and nothing is executed until you approve it. In auto mode you give a standing instruction: when accumulated round-ups reach the minimum you set and your weekly limit permits, the engine executes a purchase of the most underweight asset in your chosen template without further confirmation. You may switch modes at any time. Execution is best-effort; we may delay, retry or hold a batch in USDC when prices are stale, liquidity is insufficient or the network is unavailable.
5. Stock Tokens
Stock Tokens are tokenized debt securities issued by a third party. They give economic exposure to the price of an underlying stock; they are not shares, confer no ownership, voting or dividend rights in the underlying company, and may trade at a premium or discount. Their issuer, not Crumbs, is responsible for their terms, redemption and any collateral. Read the issuer's documentation before use.
6. Fees
Crumbs charges no subscription or platform fee in this version. You pay network gas for each transaction and the liquidity-pool fee embedded in each swap. Slippage is bounded by a limit you can set on your vault. We may introduce fees in future with at least 30 days' notice; continued use after notice constitutes acceptance.
7. Your responsibilities
- Keep your wallet, seed phrase and account credentials secure. We never ask for them and cannot recover them.
- Review the allocation template, limits and allowance cap before enabling the Service. You are responsible for the instructions you give.
- Comply with the laws of your jurisdiction, including tax reporting. We provide exports to help; we do not provide tax advice.
- Do not use the Service for money laundering, sanctions evasion, market manipulation or any unlawful purpose.
8. Availability and changes
The Service is provided "as is" and "as available". We may modify, suspend or discontinue any part of it at any time. Suspension of the Service does not affect your ability to withdraw from your vault, which is controlled solely by your wallet.
9. Disclaimer of warranties and limitation of liability
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We are not liable for any loss of value of Stock Tokens or any asset, loss of profit, loss of data, indirect or consequential loss, or losses caused by third-party services (blockchain networks, wallets, DEX liquidity pools, price oracles, token issuers). Our aggregate liability for any claim shall not exceed the greater of EUR 100 or the fees you paid us in the twelve months before the claim arose. Nothing in these Terms excludes liability that cannot be excluded by law.
10. Termination
You may stop using the Service at any time by revoking the operator, withdrawing from your vault and requesting deletion of your account. We may suspend or terminate your access for breach of these Terms or to comply with law. Termination does not affect your vault or its contents.
11. Governing law and disputes
These Terms are governed by the laws of Ireland, without regard to conflict-of-law rules. Disputes shall be brought before the courts of Dublin, Ireland, unless mandatory consumer-protection law in your country of residence provides otherwise.
12. Changes to these Terms
We may update these Terms. Material changes will be announced in the app and by email if you gave us one, and you will be asked to accept the new version before continuing. The version you accepted is recorded on your account.
